Terms of Service

1. Acceptance of Terms

By creating an account or using STRvest, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

STRvest is a short-term rental investment platform that provides:

• Deal analysis and underwriting using property data from RentCast and STR revenue estimates from AirDNA.
• Portfolio tracking with real bank transaction data connected via Plaid.
• Pricing monitor integrated with PriceLabs for dynamic pricing alerts and owner notifications.
• Market research reports for STR investment locations.
• AI-powered analysis generating investment memos and strategic recommendations via the Claude API.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

4. Account Registration

• You agree to provide accurate, current, and complete information when creating your account.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at legal@strvest.com if you suspect unauthorized access to your account.

5. Subscription Plans and Billing

Billing Terms

• Subscriptions are billed monthly in advance.
• Cancellations take effect at the end of the current billing period; no refunds for partial months.
• We will provide at least 30 days' notice of any price changes. Continued use after the effective date constitutes acceptance.
• All fees are in USD. We use Stripe for payment processing.

6. SMS Communications Program

If you opt in to receive SMS messages from STRvest, you agree to the following:

• Message types: pricing alerts, market updates, portfolio notifications, and transactional account messages.
• Frequency: message frequency varies based on your settings and activity.
• Cost: message and data rates may apply from your mobile carrier.
• Opt-out: reply STOP at any time to unsubscribe. Reply HELP for assistance.
• Support: contact legal@strvest.com for SMS program questions.
• Consent is optional: SMS opt-in is not a condition of using the STRvest platform.
• Carrier disclaimer: mobile carriers are not liable for delayed or undelivered messages.

7. Acceptable Use

You may not use the Service to:

• Violate any applicable federal, state, or local law or regulation.
• Scrape, crawl, or systematically extract data from the Service.
• Resell, sublicense, or provide access to the Service to third parties without our written consent.
• Use STR data or AI-generated analyses to provide compensated investment advisory services without holding the required regulatory licenses.
• Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
• Interfere with or disrupt the integrity or performance of the Service.

8. Third-Party Data and Services

• RentCast and AirDNA data is licensed for your personal use within the Service only. You may not redistribute, resell, or export this data to third parties.
• We do not warrant the accuracy, completeness, or timeliness of data from RentCast, AirDNA, PriceLabs, or any other third-party source.
• Plaid:your use of the bank connectivity feature is also subject to Plaid's End User Privacy Policy. By connecting a bank account, you authorize Plaid to access your financial data on your behalf.
• Third-party integrations may be modified, restricted, or discontinued due to changes in the data providers' terms or APIs. We are not liable for service interruptions caused by third-party changes.

9. Intellectual Property

• The Service, including its code, design, brand, and content, is owned by STRvest and protected by copyright, trademark, and other intellectual property laws.
• Your data (property details, deal inputs, portfolio information) remains owned by you. You grant STRvest a limited license to process and store that data solely to provide the Service.
• If you submit feedback or suggestions, you grant STRvest the right to use such feedback without obligation to compensate you.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by law, STRvest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the total fees you paid to STRvest in the twelve (12) months preceding the claim or (b) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless STRvest and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or your violation of these Terms.

12. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access immediately if you violate these Terms or if required by law.

Upon termination, your right to use the Service ceases. The following sections survive termination: Section 3 (Not Financial Advice), Section 9 (Intellectual Property), Section 10 (Limitation of Liability), Section 11 (Indemnification), and Section 13 (Governing Law).

13. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions.
• Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally for at least 30 days by contacting the other party in writing.
• If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Miami, Florida, under the AAA Commercial Arbitration Rules.
• Class action waiver: you waive any right to participate in a class action lawsuit or class-wide arbitration.
• Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.

14. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you by email and update the "Last updated" date at the top of this page. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
